This is a draft. It describes how we work today, and it may change before it becomes final.

1. Who we are

These terms are an agreement between you and Hello Momentum LLC, doing business as Hemmed Ocean ("Hemmed Ocean", "we", "us"), a Hawaii limited liability company at 1121 Nuuanu Ave, Ste 104, Honolulu, HI 96817. You are the business ordering from us ("you"). You must be 18 or older and ordering for a business.

2. What Hemmed Ocean does

Hemmed Ocean makes product images for your business. You send us photos of your product. We use AI image tools to create scenes with it, check every image against your photos, and a named Hemmed Ocean producer reviews and signs the gallery before you see it. You keep the images you choose.

Hemmed Ocean images are AI-generated. They show your real product as accurately as we can make and check them, placed in scenes that were not photographed.

3. Orders and payment

• First Shoot: $149, paid when you order. It includes a gallery of about 16 proofs in the looks you choose, and 5 keepers.
• Clothing First Shoot: $199, with 5 keepers included.
• Editorial pieces: $49 each, or 3 for $129.
• Extra keepers: $29 each, 5 for $119, or every remaining proof in a gallery for $99.
• Re-shoot (a new direction): $99, with 3 keepers included.
• Memberships: Studio and Studio Plus, billed monthly or yearly, as described on the order page. Studio is $199 a month for the first 20 members who join by December 31, 2026 (the founding price, kept for as long as a founding member stays continuously subscribed) and $249 a month after that. Studio yearly is $1,990. Studio Plus is $499 a month. Memberships renew automatically until canceled. We show the price and the renewal terms before you pay, and for yearly plans we email you a reminder at least 15 days before each renewal.
• First Shoot credit: if you join Studio or Studio Plus within 14 days of your First Shoot gallery being delivered, the $149 you paid comes off your first month. One credit per business.
• Products in a membership: each gallery can include up to 3 of your products from those on file. Studio keeps up to 5 products on file and sets up 1 new product each month. Studio Plus keeps up to 10 and sets up 2. Each additional new product is $29 to set up. Clothing galleries include up to 2 garments. You can remove a product from file at any time to make room.
• Pausing: members can pause anytime for up to 3 months. The unused days of the current billing period are kept and resume with your membership. After 3 months paused, the membership ends, and everything you kept stays yours.
• Canceling: cancel anytime in one step from your account, effective at the end of the billing period. Monthly plans aren't refunded for a month already started. Yearly plans: if you cancel within 14 days of a yearly charge and no gallery was delivered in that time, we refund that charge in full. After that, the plan runs to the end of the year and isn't refunded.
• Referrals: when a business you refer pays for a First Shoot, you and they each get 5 extra keepers. Keepers from referrals have no cash value and can't be transferred. They expire 12 months after you earn them.
• Prices are in US dollars and include any Hawaii general excise tax we owe. If we start adding tax for your state, checkout shows it before you pay.
• Payments are processed by Stripe. Extras are paid for when you order them.

4. Your photos and your product

• You confirm that you own the product shown, or have the right to have images made of it, and that you have the right to use its name, logo, label, and packaging in marketing.
• You confirm the photos you send are yours or that you may use them.
• Don't send photos of real people without their signed permission, and never photos of anyone under 18.
• You won't ask us to show another company's product, logo, or trademark without its permission.
• If a claim is made against us because of something in your photos or your product's branding, you agree to cover our reasonable costs of dealing with it.

Products we don't shoot. Before you send your photos, you confirm your product isn't one of these. If an order includes one, we cancel it and refund you in full.

• Weapons, ammunition, or their parts.
• Tobacco, vapes, cannabis, or CBD.
• Drugs, supplements, or treatments sold with medical or health claims (for example cures, weight loss, or stem cell and exosome treatments).
• Medical devices.
• Adult or sexual products.
• Alcohol, unless you're licensed to sell it. We never show alcohol with a person who could look under 21.
• Copies of another brand's product.
• Anything that's illegal to sell where you sell it.

5. Our accuracy guarantee

Every image we deliver is checked against the photos you sent: its readable text, its logos and marks, and its shape. If a kept image shows your product wrong (a wrong word, a wrong logo, a wrong part, a wrong color), tell us within 14 days of delivery and we will replace it at no charge. That is a fix, and it never counts against you.

Small text we can't reproduce exactly (ingredients, lot codes, fine print) is kept too small or soft to read, never shown readable and wrong.

If we can't deliver at least 5 keepers you're happy with from a First Shoot, we'll refund the First Shoot price. Tell us within 14 days of delivery. Any keepers you already downloaded stay yours to use.

Check before you publish. Before you publish a photo, compare it with your real product. You're responsible for what your listings and ads say about your product, including its size, contents, and any claims.

6. Choices and changes

There are no revision rounds. Instead, you choose from a gallery. On any image you keep, you can ask for one free variation ("More like this"). A new direction (a different scene, style, or look than the one you ordered) is a re-shoot.

Each gallery has a pick-by date, 7 days after we send it. If your picks aren't in by the end of that day (Hawaii time), we choose our favorites for you, starting with any you've marked, up to the number your order includes, and unlock them. We never add paid extras for you. For 30 days after your picks go out, you can swap any included photo you haven't downloaded for another proof in the same gallery, free.

7. What you get: rights in kept images

• When you keep an image and it's paid for, we transfer to you every right we hold in it, and we give you a worldwide, perpetual license to use it for any lawful business purpose: your website, ads, social media, product pages, print, and packaging mockups. You may edit it.
• Copyright in AI images is unsettled. The US Copyright Office has said that material generated entirely by AI, without enough human authorship, is not protected by copyright. So we can't promise that anyone owns a copyright in a Hemmed Ocean image, or that you can stop others from copying it. We promise that we won't sell or license your kept images to anyone else.
• Unkept proofs are not licensed. Please don't use them, and don't remove their watermark.
• Kept images carry embedded metadata that marks them as AI-generated (the IPTC "digital source type" tag). Please leave it in place. Google Merchant Center requires it, and removing it can get product listings flagged. Some images also carry invisible watermarks or provenance data from the tools that made them. Leave those in place too, and don't present an image as an unedited photograph where that would mislead anyone.
• AI tools can make similar images for other people, so we can't promise that no one else will ever have an image like yours.
• Don't use Hemmed Ocean images to train AI models.
• If one of our AI providers or a rights holder requires an image to be taken down, you agree to stop using it, and we'll make you a replacement free.

8. Where Hemmed Ocean images can be used

Hemmed Ocean images suit lifestyle, secondary product-page, ad, social, and website use. Some marketplaces require real photographs in certain places: for example, Amazon's main product image and Etsy's first listing photo. Please don't use Hemmed Ocean images there. You are responsible for following the rules of the platforms where you post, including their AI labeling rules. Meta, for example, may show an "AI info" label.

Photos with AI-made people. Some Hemmed Ocean photos show a person who was made by AI and isn't a real, identifiable person. We mark those photos in your gallery and embed the label Amazon requires ("contains-synthetic-performer") in each file. New York law (General Business Law 396-b) requires a clear disclosure on any advertisement that uses such a person, and other places may have similar rules. You create and publish your ads, so adding any disclosure the law or a platform requires is your responsibility. Before you can download these photos, you confirm this in your gallery with your name, and we keep a record of that confirmation.

• We make every AI-made person to read clearly as an adult, and never to look like a real or famous person. If you think a face in your gallery looks like someone real, tell us and we'll replace the photo free.
• You won't present an AI-made person as a real customer, reviewer, employee, or anyone who actually used your product. Don't use these photos in testimonials, reviews, or before-and-after claims.
• You won't ask us to make an image of a real, identifiable person.

You agree to indemnify Hemmed Ocean against claims, penalties, and costs that result from using these photos without a required disclosure.

9. Showing your work (portfolio)

We show images from your gallery, or your business name, in the Hemmed Ocean portfolio and in our producers' showcases only if you tell us we may. You can take that back at any time by emailing us, and we'll remove them from anything we control within 14 days. We never show images of products that aren't released yet.

10. Confidentiality and your data

• We treat your product photos and unreleased products as confidential. We share them only with the service providers below, and only to make your images.
• Service providers that process your photos: Google (Gemini image models), Sourceful through OpenRouter (Riverflow image model), and Anthropic (Claude, which checks images). Under the terms we use them on, none of them trains its models on your photos. Higgsfield makes the AI-made people in some photos, from written descriptions only. We never send it your photos.
• We delete your original photos and unkept proofs 90 days after your order is complete, unless you ask us to keep them for future orders.
• Members: while you're a Studio or Studio Plus member, we keep your product photos and product details on file so later shoots need no new photos. We delete them 90 days after your membership ends, or sooner if you ask.
• Kept images stay yours to download for as long as Hemmed Ocean operates, whether or not you're still a member. After a membership ends, your account keeps download access to every kept image, without new shoots, share links, or edits. If Hemmed Ocean ever stops operating, we'll give you at least 90 days' notice by email to download everything first.
• Our producers are bound by confidentiality agreements.
• Our privacy policy at /privacy explains how we handle personal information such as names and emails.

11. Things we don't promise

• We don't promise that images will increase your sales, or any particular result.
• Beyond the accuracy guarantee in section 5 and the refund in section 5, Hemmed Ocean images are provided as they are.

12. Limits on liability

To the extent the law allows, our total liability for any claim about an order is limited to the amount you paid for that order, and neither of us is liable to the other for indirect or consequential losses.

13. Ending the agreement

You can stop ordering at any time. We may decline or cancel an order that breaks these terms, with a refund of anything paid for work not delivered. Sections 7, 9, 10, 11, and 12 continue after an order ends.

14. Law and disputes

Hawaii law governs these terms. If we disagree about something, we'll first try to settle it by email for 30 days. If that doesn't work, the state or federal courts in Honolulu, Hawaii decide it.

15. Copyright complaints

If you believe something on our site or in an image we made copies your work, including a photo or logo a customer uploaded, send a notice to our designated copyright agent:

Our agent is listed in the US Copyright Office's DMCA Designated Agent Directory (registration DMCA-1081589).

Please include: your signature, the work you believe was copied, where the copying appears on our site or in our galleries, how to reach you, a statement that you believe in good faith the use isn't authorized, and a statement, under penalty of perjury, that your notice is accurate and that you own the work or may act for its owner. While we look into it, we take the material down from anything we control. If we remove something you uploaded, we tell you, and you can send a counter-notice to the same address.
